TERMS OF TRADE

1. TERMS USED
   1. The “Seller” shall mean Techno Systems Ltd. or any agents or employees thereof
   2. The “Customer” or “Buyer” shall mean any legal entity, or any person acting on behalf of or with the authority of such entity, purchasing goods and/or services from the seller.
   3. The “Terms” shall mean these Terms of Trade.  
2. ACCEPTANCE
   1. Any instructions received by the seller from the customer for the supply of goods shall be a confirmation of acceptance of these Terms and shall be deemed to be binding on the customer.
   2. Any condition contained in the buyer’s order that is inconsistent with, qualifies or is contrary to these Terms shall have no effect unless expressly accepted in writing by the Seller.
   3. Any variation, waiver or cancellation of a buyer’s order shall have no effect unless accepted in writing by the seller and shall be subject to any condition, levy or penalty imposed by the seller. 
3. PRICES AND TERMS OF PAYMENT
   1. All prices quoted by the seller are exclusive of taxes, duties and GST / VAT unless specifically stated by the seller.
   2. Where the Seller has specifically allowed credit terms to the customer, payment in full is due on the 20^th of the month following the date of supply of goods or services.
   3. In all other cases payment in full is due within 7 days of the date of supply of goods or services as per the invoice issued by the seller.
   4. Interest is payable at the rate of 2.5% per month on any amount outstanding beyond the due date and will accrue up to and including the date of payment thereof.
   5. The buyer shall also be liable to pay all expenses including any legal costs incurred by the seller in recovering any outstanding debts or obtaining any remedy for the failure on the part of the buyer to comply with these Terms
4. DELIVERY
   1. The seller reserves the right to dispatch the buyer’s order in one delivery or in installments.
   2. The seller reserves the right to restrict or withhold the delivery of further goods and services where the buyer has defaulted in terms of clause 3 in respect of any supply or part supply. 
   3. Any quotations of delivery time by the seller are to be treated as estimates and will not be binding on the seller.
   4. All goods dispatched are forwarded at buyer’s risk. Any insurance against loss and liability for loss is customer’s care 
5. TITLE AND RISK
   1. Goods shall be wholly at the buyer’s risk from the time of delivery into the buyer’s care or control
   2. The seller retains title under the ROMALPA clause to all goods supplied to the buyer. Under this condition title to goods will be transferred to the buyer only when the buyer has paid all monies owing to the seller in respect of any and all goods and/or services or owing upon any other account. Until all such payments are received the seller holds such goods on trust as bailee. Subject to this the buyer may sell such goods (or products including these goods) provided that the Seller shall hold the proceeds of such sale in trust for and on behalf of the seller and shall promptly pay such proceeds to the seller.

7. LIABILITY
   1. The buyer shall ensure that the goods or services ordered are suitable for the purpose for which they are required and the seller will be under no liability or obligation in this regard.
